Outside counsel for Utah small businesses

You shouldn’t have to explain your company to a new lawyer every time something comes up.

The expensive part is the retelling

A contract lands in your inbox. A landlord wants a change. A new owner wants in. You call a lawyer, spend the first half hour on the origin story, and get a bill for the history lesson.

Outside counsel means I already have the file. The operating agreement, the owners, the last contract, the thing you’re trying to do this year. The next question starts in the middle.

What a matter looks like

A contract to draft or review. A member change. A question about whether the company can sign something a customer sent over. A buy-sell that needs a refresh before someone retires.

You call or write. I tell you whether it’s a small read or a real draft. Then I quote a flat fee for that matter. You decide before I start.

I don’t publish a monthly plan, and I don’t sell a subscription on this page. If you want a standing relationship, we still price the work in front of us. Some months that’s one contract. Some months it’s quiet.

Utah, Arizona, and Texas, one file

I’m licensed in those three. If the company starts in Utah and picks up work in Arizona or Texas, you don’t need a second introduction.

That is not a promise I can practice somewhere else. If the question is about another state, I’ll say so.

What I won’t take

Litigation. If the matter is a lawsuit, or it’s about to become one, I tell you on the first call and point you toward someone who tries cases.

I also don’t do trademark filings or nonprofit formations. If that’s the question, I’ll say that too.

How owners usually wait too long

They sign the vendor contract because the work starts Monday. They add a partner with a handshake. They let the operating agreement go stale for six years.

Call before the signature. The pricing page explains that ongoing counsel is quoted as a flat fee after we understand the work. The business hub is the map of the rest of the practice.
