The Wasatch mountains above the Salt Lake valley

One company, three states: Utah, Arizona, Texas

I’m licensed in Utah, Arizona, and Texas, so a company that crosses those lines has one lawyer, not three.

Formed there, working here

You formed the LLC in Utah. Then the crew started taking jobs in Arizona. Or you formed it in Texas and moved the office to Salt Lake. Or a Wyoming or Delaware company is the one on your cap table, and the actual work is on the Wasatch Front.

Formation and registration are different acts. The first creates the company. The second tells another state that this company is doing business there. Skipping the second doesn’t keep the first one company-shaped.

Utah’s rule, as of October 1, 2026

Utah recodified its entity statutes into Title 16. Foreign registration for a company formed somewhere else now lives at Utah Code § 16-1a-503. A filing foreign entity may not do business in Utah until it registers.

If it doesn’t, the statute can bar that company from maintaining a case in a Utah court until it registers. The failure does not, by itself, wipe out the company’s contracts or the liability limit of its owners. I still wouldn’t treat the registration as optional. If you’re already doing business here, tell me, and we’ll talk about filing it.

Arizona and Texas are not a copy of Utah

Each state has its own registration, its own registered-agent rule, and its own form. I’m licensed in Arizona and Texas, so I can do those filings too. I don’t hand you a Utah form and hope.

I don’t practice outside those three states. If the other state is Wyoming, Delaware, or anywhere else, I can still help you think about the Utah side. The home-state lawyer, or the filing service you already use, handles the state where I’m not licensed. I’ll say that plainly.

What “doing business” usually looks like

An office, employees, or regular jobs in the state. Not a single phone call. Not owning a bank account by itself. The edges are fact-specific, which is why I ask what you actually do there before I tell you to file.

A registration is not a new LLC. You keep one company. You add permission to operate. If what you really need is a new LLC in the state where you live, that’s the formation page, not this one.

The fee

I quote a flat fee after the consult. You’ll see my number, and the state filing charge, before you commit. I don’t publish a registration price on this page.

The pricing page publishes LLC formation only. A foreign registration is its own scope. If the company also needs an operating agreement that understands two states, we include that in the quote instead of pretending the form was finished at formation.

Questions people ask

If the company is doing business in Utah, Utah Code § 16-1a-503 says it registers before it does that business. Living here and running the company from here is a fact I want to hear. Bring the formation state and what the company actually does.

This is general education, not legal advice for your situation.

For the company

Tell me where it was formed, and where the work actually happens.

Thirty minutes. I’ll tell you whether I can help, and I’ll quote a flat fee before I draft.
